Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the AgentHC website, newsletters, alerts, dashboards, and related services (collectively, the "Service"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms and by the documents incorporated by reference, including our Privacy Policy and Disclosures. If you do not agree, do not use the Service.

2. Eligibility

Eligibility: this service is offered to United States residents who are at least 18 years of age. By signing up you attest that you meet these requirements.

The Service is intended only for United States residents who are at least 18 years old. By registering you represent and warrant that you meet these requirements, that the information you provide is accurate, and that your use of the Service does not violate any law applicable to you. We may suspend or terminate accounts that do not meet these criteria.

3. Nature of the Service: not investment advice

AgentHC is an automated research and educational tool. It is not a registered investment adviser, broker-dealer, futures commission merchant, or commodity trading advisor, and nothing in the Service is personalized investment advice or an offer or solicitation to buy or sell any security, option, or other instrument. You are solely responsible for your own trading and investment decisions and for evaluating the merits and risks of any transaction. See our full Disclosures.

You acknowledge that AgentHC provides educational market commentary, not investment advice, and that all displayed performance is hypothetical/simulated. You accept the advisory and risk terms, including the options-risk disclosure.

4. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend access to protect the Service or other users. One account per person; accounts are personal and non-transferable.

5. Subscriptions, plans, and recurring billing

Certain features require a paid subscription. We currently offer Free and Pro tiers; the features and prices of each tier are described on the billing page at the time of purchase.

Recurring charges

Paid plans are recurring subscriptions. When you subscribe, you authorize us and our payment processor to charge your selected payment method the then- current subscription fee, plus any applicable taxes, on a recurring basis (monthly or annually, as you select) until you cancel. Subscription fees are billed in advance for each billing period.

Automatic renewal

Price changes

We may change subscription prices. Any price change will apply to billing periods that begin after we give you advance notice as required by law. If you do not agree to a price change, you may cancel before it takes effect.

Payment processing

Payments are processed by our third-party payment processor, Stripe. We do not store full card numbers on our systems. Your use of payment features is also subject to Stripe's terms. See our Privacy Policy for how billing data is handled.

6. Cancellation: click to cancel

To cancel, sign in and go to the billing page and select cancel (or "manage subscription"), or use the self-service customer portal linked there. Cancellation takes effect at the end of your current paid billing period: you will retain access to paid features through the period you have already paid for, and you will not be charged again. We do not require you to contact support to cancel.

7. Refunds

Except where required by applicable law, subscription fees are generally non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or features you did not use. Because you can cancel at any time to stop future charges, the simplest way to avoid a charge is to cancel before your renewal date. We may, at our discretion, offer a refund or credit in individual cases (for example, a duplicate charge or a billing error), and we will honor any refund rights that applicable law grants you. 8. Free trials and promotions

If we offer a free or discounted trial, the trial converts to a paid, auto-renewing subscription at the end of the trial period at the then-current rate unless you cancel before the trial ends. Promotional pricing applies only for the stated period; standard pricing applies thereafter.

9. Acceptable use

You agree not to:

• redistribute, resell, scrape, or republish the Service's content, alerts, or data, including any live OPRA-derived market data, except as expressly permitted;
• share your account or credentials with others;
• use the Service in any way that violates securities, options, market-data, or other applicable laws or the OPRA non-professional subscriber agreement;
• attempt to interfere with, reverse engineer, or gain unauthorized access to the Service or its infrastructure.

10. Market data and the OPRA agreement

Some features display live OPRA-derived market data (real-time NBBO bid/ask and live Greeks/implied volatility). Access to those live fields requires you to accept the OPRA non-professional subscriber agreement and our advisory/risk terms. Live OPRA-derived market data (real-time NBBO bid/ask, live Greeks and implied volatility) is provided for your non-professional, personal use only under the OPRA non-professional subscriber agreement. You agree not to redistribute it. Until you accept, only AgentHC's own modeled commentary is shown, not live OPRA fields. 11. Risk disclosure and hypothetical performance

You acknowledge that trading securities and options involves substantial risk of loss, that any performance figures shown are hypothetical/simulated as described in our Disclosures, and that you should not trade with money you cannot afford to lose.

12. Position and conflict disclosure

Position / conflict disclosure: AgentHC may hold or trade the same options it discusses, and may exit positions into subscriber activity. Commentary should not be assumed to be free of conflicts of interest.

13. Intellectual property

The Service, including its software, text, commentary, and design, is owned by Sky Manor Trading LLC or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your own personal, non-commercial use, subject to these Terms.

14. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service, its data, or its commentary will be accurate, complete, timely, uninterrupted, or error-free.

15. Limitation of liability

To the maximum extent permitted by law, Sky Manor Trading LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading or investment losses, arising out of or relating to your use of the Service. 16. Termination

You may stop using the Service at any time and cancel any subscription as described above. We may suspend or terminate your access if you breach these Terms or to protect the Service. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and dispute provisions) will survive.

17. Changes to these Terms

We may update these Terms. When we make material changes, we will update the version indicator above and, where required, notify you and/or ask you to re-accept. Your continued use after changes take effect constitutes acceptance.

18. Governing law and disputes

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules. [Dispute resolution, venue, and any arbitration or class-action provisions to be finalized by counsel before launch.]
